Terms of Service

1. Introduction

These Terms of Service ("Terms") govern participation in the Little SOHLS Creator Program ("Program") operated by Little SOHLS ABN

These Terms of Service (“Terms”) govern participation in the Little SOHLS Creator Program (“Program”) operated by Little SOHLS (ABN 48 673 982 459) of 35-39 Bourke Road, Alexandria NSW 2015
(“Little SOHLS”, “we”, “us”, or “our”).

By submitting an application to the Program or accepting an invitation to participate, you (“Creator”, “you”, or “your”) agree to be bound by these Terms. If you do not agree, do not submit an application or participate in the Program.

These Terms are a legally binding agreement and should be read carefully.

2. Eligibility

To be eligible to participate in the Program, you must:

  • Be 18 years of age or older;
  • Be the parent or legal guardian of at least one child aged 0–5 years;
  • Hold a valid and active social media account on at least one platform (Instagram or TikTok);
  • Be based in Australia or New Zealand (unless otherwise agreed in writing by Little SOHLS);
  • Not be currently in breach of any prior agreement with Little SOHLS; and
  • Not currently be working with any direct competitor brands
  • Have received written confirmation from Little SOHLS that your application has been accepted.

Acceptance into the Program is at the sole discretion of Little SOHLS. Submitting an application does not guarantee acceptance.

3. Creator Tiers

The Program operates across three tiers. Your specific obligations and entitlements depend on the tier(s) to which you are accepted. Little SOHLS will confirm your tier(s) in writing upon acceptance.

3.1 Gifted Organic Collab

This tier is best suited to creators who are building their presence and want to share genuine, everyday moments with their audience.

What you receive: One (1) gifted pair of Little SOHLS footwear, selected by Little SOHLS.

What we ask in return:

  • Post a minimum of one (1) Reel to your social media account tagging @littlesohls and using any hashtags specified by Little SOHLS at the time of your brief;
  • Provide Little SOHLS with b-roll footage, photos, and video clips of your child wearing the gifted product (“Content”) for our use in advertising and marketing; and
  • Content must be submitted to Little SOHLS within 14 days of receiving the gifted product unless otherwise agreed in writing.

Additional notes:

  • No formal brief is required. Content should feel natural and authentic – simply your little one exploring, playing, or going
    about their day in their SOHLS.
  • Your child’s face does not need to appear in the content (your personal preference). Feet, movement, and lifestyle shots are
    encouraged.
  • No monetary payment is made under this tier. The gifted product constitutes the full consideration for your participation.
  • Gifted products are not exchangeable for cash and are provided at the retail value determined by Little SOHLS.

3.2 UGC Paid Advertising

This tier is for creators who are comfortable working to a creative brief and producing content specifically for use in Little SOHLS’ paid advertising channels.

What’s involved:

  • Little SOHLS will provide a written creative brief outlining the required deliverables, style, deadlines, and usage rights for each project;
  • You agree to produce content that meets the brief and submit it by the agreed deadline;
  • Content produced under this tier is licensed to Little SOHLS for use in paid advertising across digital platforms including (but not limited to) Meta, TikTok, Google, and YouTube;
  • Specific deliverables, timelines, and fees will be agreed in writing for each project or partnership before any work commences; and
  • Collabs range from one-off shoots to ongoing monthly partnerships and longer-term brand deals, each governed by a separate written agreement or project brief incorporating these Terms.

Payment: Fees will be set out in the applicable project brief or agreement and will range from $150-$300 based on experience level. Unless otherwise agreed, payment will be made within 14 days of Little
SOHLS approving the final content deliverable. All fees are inclusive of GST
unless otherwise stated.

3.3 Affiliate Creator

This tier allows creators with an engaged audience to earn commission by promoting Little SOHLS products using a unique discount code.

How it works:

  • Upon acceptance, Little SOHLS will provide you a pair of gifted SOHLS with a unique 15% discount code (“Affiliate Code”) to share with your followers;
  • You will earn a commission on each qualifying purchase made by a new customer using your Affiliate Code;
  • Commission is calculated on the net order value (excluding GST, shipping, and any other discounts applied) and will be paid at the rate of
  • Commission rate: 15% of net order value per qualifying sale.
  • Commissions will be tracked by Little SOHLS and paid
  • Payment frequency: Monthly to the bank account or payment method
    you nominate.
  • Affiliate Codes are non-transferable. You must not sell, share, or distribute your code in a way that is misleading, deceptive, or that artificially inflates sales.
  • Affiliate Codes last 90 days, and can be renewed at the discretion of Little SOHLS
  • Little SOHLS reserves the right to void commissions arising from fraudulent, self-referral, or bulk/reseller purchases.

4. Content & Intellectual Property

4.1 Licence granted to Little SOHLS

By submitting Content to Little SOHLS (whether via email, DM, shared folder, or any other method), you grant Little SOHLS a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable licence to use, reproduce, edit, publish, translate, distribute, publicly display, and create derivative works from the Content for any
commercial or non-commercial purpose, including but not limited to:

  • Paid and organic advertising across all digital platforms;
  • Website and e-commerce use;

This licence applies to all Content submitted under the Program regardless of tier.

4.2 Ownership

You retain ownership of the original Content you create. The licence granted above does not transfer copyright ownership to Little SOHLS.

Little SOHLS retains ownership of all briefs, brand assets, and materials it provides to you. You must not use Little SOHLS’ trademarks, logos, or brand assets for any purpose outside the Program without prior written consent.

4.3 Your warranties

By submitting Content, you warrant that:

  • You are the original creator of the Content and own all necessary rights to grant the licence above;
  • The Content does not infringe the intellectual property, privacy, or other rights of any third party;
  • You have obtained all necessary consents from any individuals appearing in the Content (including parental consent for any child other than your own);
  • The Content is not defamatory, misleading, or in breach of any applicable law; ans
  • Where your child appears in the Content, you are their parent or legal guardian and consent to their image being used in accordance with these Terms.

5. Creator Obligations

As a Creator, you agree to:

  • Act professionally and in good faith in all dealings with Little SOHLS;
  • Disclose your relationship with Little SOHLS in all sponsored or gifted content in accordance with the Australian Association of National Advertisers (AANA) Influencer Marketing Code of Practice and any applicable Australian Consumer Law (ACL) requirements (e.g. using #ad, #gifted, or #sponsored as appropriate);
  • Not make false, misleading, or derogatory statements about Little SOHLS, its products, team, or customers;
  • Not engage in any conduct that could bring Little SOHLS into disrepute;
  • Submit content by agreed deadlines and notify Little SOHLS promptly if you are unable to meet a deadline;
  • Not post content for or collaborate with any direct competitor of Little SOHLS during an active paid collaboration without prior written consent; ans
  • Comply with the platform terms of service for any social media platform on which you post Content.

6. Gifted Products

Where Little SOHLS provides gifted products as part of the Program:

  • Products remain the property of Little SOHLS until dispatched to you, at which point ownership transfers to you
  • Products are provided as consideration for participation and are not exchangeable for cash;
  • If you fail to fulfil your content obligations under Section 3.1, Little SOHLS reserves the right to request the return of gifted
    products or invoice you for their retail value; and
  • Little SOHLS does not warrant that gifted products are free from defects, but any product concerns should be raised directly with us at hello@littlesohls.com.au.

7. Privacy

Little SOHLS collects and handles your personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy available at

By participating in the Program, you consent to Little SOHLS collecting, storing, and using your contact details, social media handles, and content for the purposes described in these Terms and our Privacy Policy.

You are responsible for ensuring you have the consent of any individual (including your child) whose personal information or image is included in Content you submit.

8. Termination & Suspension

Either party may terminate participation in the Program at any time by providing written notice to the other party.

Little SOHLS may suspend or terminate your participation immediately and without notice if:

  • You breach any provision of these Terms;
  • You engage in conduct that Little SOHLS considers, in its reasonable opinion, to be harmful to the brand, its customers, or its
    reputation;
  • You provide false or misleading information in your application; or
  • Little SOHLS discontinues the Program.

Upon termination:

  • The licence granted to Little SOHLS under Section 4.1 survives termination and remains in full force;
  • Any outstanding commissions earned and confirmed prior to termination will be paid at the next scheduled payout date;
  • No further gifted products or compensation will be
    provided; and
  • You must cease using Little SOHLS’ brand assets and remove any active affiliate codes from your platforms within 7 days.

9. Limitation of Liability

To the maximum extent permitted by law, Little SOHLS’ liability to you in connection with the Program is limited to the total value of products gifted or fees paid to you in the 3 months preceding the event giving rise to the claim.

Little SOHLS is not liable for any indirect, consequential, special, or incidental loss or damage, including loss of income, loss of opportunity, or damage to reputation.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.

10. Confidentiality

You agree to keep confidential any non-public information provided to you by Little SOHLS in connection with the Program, including creative briefs, product launch details, pricing, and business strategies. This obligation survives termination of your participation.

11. Amendments

Little SOHLS may update these Terms from time to time. We will notify active Creators of material changes by email. Continued participation in the Program after the effective date of any update constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of New South Whales Australia. Each party irrevocably submits to the exclusive jurisdiction of the courts of that State.
